Terms of Use

1. Preamble & purpose

KnowVault is a SaaS platform for knowledge transfer through video, published by Carthanet, a SASU registered with the Paris Trade and Companies Register under number 930 115 506, with its registered office at 60 rue François Ier, 75008 Paris, France (hereinafter "the Publisher").

These Terms of Use (hereinafter the "Terms") define how the KnowVault service may be accessed and used, as well as the rights and obligations of the Publisher and Users. They also include the terms of sale applicable to paid Plans.

2. Definitions

• Service: the KnowVault platform, accessible via the marketing website knowvault.fr, the demo demo.knowvault.fr and the application app.knowvault.fr.
• Publisher: Carthanet, the company that publishes the Service.
• User: any individual accessing the Service.
• Customer: any entity (individual or legal person) that has subscribed to a Plan.
• Contributor: a User with the right to create, record or edit videos within the Service. Each active Contributor is billed according to the Plan.
• Viewer: a User with the right only to view content. Viewers are free and unlimited.
• Customer Content: any data, video, comment or file created or uploaded by the Customer or its Users within the Service.
• Plan: the pricing tier subscribed to (Starter, Pro or Enterprise).

3. Acceptance

By creating an account on the Service or using the Service in any capacity, the User declares that they have read, understood and accepted these Terms without reservation. Failing acceptance, the User must stop using the Service.

4. Description of the Service

The Service allows Contributors to record knowledge-transfer videos, organize them and make them accessible to the Viewers of their organization. Videos may be transcribed and translated automatically. Three Plans are offered:

• Starter (free): up to 3 Contributors, unlimited Viewers, 5 GB of storage.
• Pro: unlimited Contributors and Viewers, 1 TB of shared storage, advanced roles. €13.90 excl. VAT per Contributor per month (or €139 excl. VAT per Contributor per year, i.e. two months free).
• Enterprise: a quote-based offer for large accounts. Includes a dedicated server, SSO/SAML authentication on request, a contractual availability commitment (SLA) and dedicated support. Terms are set out in a separate agreement.

5. Access to the Service

Access to the Service requires the creation of an account on app.knowvault.fr. The User undertakes to provide accurate information and to keep it up to date. Each account is strictly personal and individual; sharing credentials is prohibited.

Access to the Service requires an internet connection and a recent web browser. The Publisher cannot be held liable for issues related to the User's technical environment.

6. Pricing & Payment

The applicable prices are those shown on the Pricing page at the time of subscription. All prices are stated in euros, excluding tax. Applicable VAT is added according to the Customer's place of establishment. Professional Customers within the EU but outside France are subject to the reverse-charge mechanism, provided they supply a valid VAT number.

Payment is made by credit card via the provider Stripe. The Publisher never stores payment data, which is processed directly by Stripe in a PCI-DSS-certified environment.

The Pro subscription is billed in advance, monthly or annually depending on the Customer's choice. It renews automatically at the end of each period, unless cancelled from the customer area before the term. An invoice is issued and made available in the customer area.

6.1. Billing by number of Contributors

The amount billed on the Pro Plan is proportional to the number of active Contributors within the Customer's organization. A Contributor is any User with the right to create, record or edit videos. Viewers (read-only Users) are free and unlimited and are not counted.

6.2. Mid-period adjustment (proration)

Adding or removing a Contributor mid-period gives rise to a pro-rata adjustment for the remaining part of the period:

• Monthly billing: the proration (a charge for an addition, a credit for a removal) is consolidated on the following month's invoice.
• Annual billing: to avoid waiting for the annual renewal, prorations related to Contributor movements are consolidated into a monthly invoice issued on the 1st of each month, separate from the main annual invoice. If there is no movement during the month, no interim invoice is issued.

6.3. Subscription management

At any time, from the Billing area of the application or from the Stripe customer portal accessible via that same area, the Customer may: update their payment method, download their invoices, switch between monthly and annual billing, or cancel their subscription. The number of seats cannot be changed from the Stripe portal: it automatically reflects the actual number of Contributors added or removed from the application.

In the event of non-payment, the Service may be suspended by operation of law after a period of fifteen (15) days following the formal notice sent by email, until the situation is resolved.

7. Right of withdrawal

KnowVault is a service intended for professionals in the course of their business. Pursuant to article L.221-3 of the French Consumer Code, the fourteen (14) day right of withdrawal provided for consumers does not apply to Customers acting for professional purposes.

In the exceptional case where a User acts as a consumer, they acknowledge expressly requesting the immediate performance of the Service upon subscription and waiving their right of withdrawal for the part of the service already performed.

8. User obligations

The User undertakes to:

• Use the Service in accordance with its purpose and these Terms;
• Not distribute unlawful, violent, hateful, defamatory, child-pornographic content or content that infringes the rights of third parties (in particular intellectual property);
• Not use the Service for resale or to provide services to third parties without the Publisher's prior written consent;
• Keep their credentials confidential and notify the Publisher immediately in the event of a compromise;
• Not attempt to bypass security measures, scrape the Service or disrupt its operation.

9. Intellectual property

9.1. Ownership of the Service

All elements making up the Service (source code, design, interface, the name "KnowVault", logo, documentation) are the exclusive property of the Publisher and are protected by French and international intellectual property law. Any reproduction, representation, modification or exploitation without authorization is prohibited.

9.2. Customer Content

The Customer retains full ownership of the Content it uploads to the Service. It grants the Publisher a non-exclusive, worldwide, royalty-free license, strictly limited to the technical operations necessary to provide the Service (hosting, transcoding, automatic transcription and translation, display, backup), for the duration of the subscription. These operations may be carried out by the subprocessors listed in the Privacy policy.

The Publisher does not exploit Customer Content for commercial purposes, does not analyze it beyond these technical operations, does not resell it, and does not use it to train artificial intelligence models.

10. Personal data

The processing of personal data is described in our Privacy policy. The Publisher is the data controller for data collected directly from Users. When the Customer deploys the Service to its staff, it acts as the data controller in respect of them, with the Publisher acting as a processor within the meaning of article 28 of the GDPR.

11. Confidentiality

Confidential information exchanged between the parties in connection with the use of the Service remains confidential. The Publisher undertakes not to disclose Customer Content to third parties, except where required by law, by a request from a competent authority, or with the Customer's written authorization.

12. Service availability

The Publisher endeavors to ensure continuous availability of the Service. On the Pro Plan, an availability target of 99% on a monthly basis is aimed for, excluding planned maintenance communicated in advance and cases of force majeure. The Enterprise Plan benefits from an availability commitment (SLA) defined in a separate agreement. The Starter Plan is provided without any availability commitment.

The Publisher reserves the right to temporarily interrupt the Service for maintenance, updates or security operations.

13. Suspension & Termination

By the Customer: termination may be carried out at any time from the customer area. The Service remains accessible until the end of the current period. No refund is due for the period already started, unless otherwise required by law.

By the Publisher: in the event of a serious breach by the Customer of these Terms (persistent non-payment, distribution of unlawful content, fraud), the Publisher may suspend or terminate access to the Service after a formal notice that has remained without effect for a reasonable period.

Data export: upon termination, the Customer has a period of 30 days to export its Content. The export is made available in JSON format and contains teams, members, invitations and associated metadata, in line with the right to portability (art. 20 of the GDPR). To obtain the video files themselves, the Customer may request them by email at support@knowvault.fr. After the 30-day period, the data is permanently deleted.

14. Liability

The Publisher is bound by a best-efforts obligation in providing the Service. It cannot be held liable for damage resulting from non-compliant use, misuse of credentials, a failure of the Customer's technical environment, or a case of force majeure.

To the extent permitted by law, the Publisher's total liability, for all losses combined, is capped at the amount actually billed to the Customer over the twelve (12) months preceding the triggering event. Indirect damages (loss of operations, loss of profit, loss of data, harm to reputation) are excluded.

These limitations do not apply in the event of gross negligence or willful misconduct.

15. Force majeure

Neither party may be held liable for a failure to perform its obligations resulting from a case of force majeure, within the meaning of article 1218 of the French Civil Code and French case law (in particular: natural disaster, large-scale cyberattack, prolonged failure of a telecom operator or a major third-party subprocessor).

16. Changes to the Terms

The Publisher may amend these Terms at any time. Substantial changes are notified to Customers by email at least thirty (30) days before they come into force. Continuing to use the Service beyond that date constitutes acceptance of the new Terms. A Customer who refuses the changes may cancel their subscription free of charge.

17. Assignment

The Customer may not assign its rights and obligations under these Terms without the Publisher's prior written consent. The Publisher may freely assign these Terms, in particular as part of a reorganization, merger or asset transfer.

18. Severability & no waiver

If any clause of these Terms is declared null or unenforceable, the other clauses shall remain in full force. The fact that a party does not invoke a breach does not constitute a waiver of the right to invoke it later.

19. Governing law & jurisdiction

These Terms are governed by French law. In the event of a dispute, the parties shall endeavor to find an amicable solution. Failing that, the dispute shall be submitted to the exclusive jurisdiction of the Paris Commercial Court, including in the event of multiple defendants or third-party proceedings.

For consumer Users, the protective statutory rules of jurisdiction apply.
